01What these Terms cover, and what they do not
These Terms govern use of the Site only. They do not govern HachiAI's services. Deployment and operation of Intelligent Digital Workers and related services, including any pilot, assessment, or production engagement, are governed exclusively by a separately executed agreement between HachiAI and the client, such as a Master Services Agreement, Statement of Work, and, where applicable, a Data Processing Agreement. If there is any conflict between these Terms and a signed agreement between you and HachiAI, the signed agreement prevails with respect to the services it covers. Nothing on the Site constitutes an offer capable of acceptance, and no contract for services is formed by using the Site, submitting a form, or receiving an estimate from a Site tool.
02Eligibility
The Site is intended for business users. You must be at least the age of majority in your jurisdiction to use the Site. We do not knowingly permit use of the Site by anyone under that age, and the Site is not directed to children.
03License to use the Site
Subject to these Terms, HachiAI grants you a limited, non-exclusive, non-transferable, revocable license to access the Site and to view, download, and print its content for your internal business evaluation of HachiAI and for other lawful, non-commercial reference purposes. All rights not expressly granted are reserved. Except as permitted under Section 6 (Automated access) or by applicable law, you may not reproduce, republish, sell, or commercially exploit Site content without our prior written permission.
04Acceptable use
You agree not to:
- use the Site in violation of any applicable law or regulation;
- attempt to gain unauthorized access to the Site, its servers, or any connected system, or probe, scan, or test their vulnerability without authorization;
- interfere with the operation of the Site, including by imposing an unreasonable load on our infrastructure, or introducing malware or other harmful code;
- submit information through Site forms that is false, misleading, or that you do not have the right to provide;
- impersonate any person or entity, or misrepresent your affiliation with any person or entity;
- harvest or collect personal information of others from the Site;
- remove, obscure, or alter any proprietary notices on Site content; or
- use the Site to develop a competing product or service by systematically copying its content or presentation.
05Interactive tools, estimates, and assessments
The Site includes interactive tools, including an ROI calculator, an AI Opportunity Score, and an AI Opportunity Assessment. Outputs of these tools are illustrative estimates generated from the inputs you provide and stated assumptions. They are not quotations, offers, guarantees of savings or outcomes, or professional, financial, accounting, or legal advice. Actual scope, timelines, and commercial terms for any engagement are established only in a signed agreement following scoping. You are responsible for the accuracy of the information you enter into Site tools.
06Automated access, crawling, and AI systems
HachiAI publishes crawler directives at /robots.txt and machine-readable site information at /llms.txt. Good-faith automated access that respects those directives, including indexing by search engines and retrieval or citation by AI answer systems, is permitted. You may not: (a) access endpoints disallowed in robots.txt; (b) circumvent rate limits or technical protection measures; (c) use automated means to submit forms or generate requests that impose an unreasonable load; or (d) misattribute Site content or present it in a manner that misrepresents HachiAI. We may modify our crawler directives at any time, and continued automated access must conform to the directives as published.
07Intellectual property
The Site and its content, including text, graphics, page designs, logos, images, video, audio, data compilations, and software, are the property of HachiAI Inc. or its licensors and are protected by copyright, trademark, and other intellectual property laws. "HachiAI", "IDW", "Forge", "Pulse", "Compass", and associated logos and product names are trademarks or trade names of HachiAI Inc., whether or not registered. Third-party names, marks, and logos appearing on the Site, including the names of software platforms our services integrate with and the logos of clients displayed with permission, are the property of their respective owners; their appearance does not imply endorsement of HachiAI by those parties, or of those parties by HachiAI, beyond any relationship expressly described.
08Case studies, metrics, and forward-looking statements
Results, metrics, and outcomes described on the Site, including in case studies, reflect specific client engagements, measured in the context and time period described, with client identities anonymized except where the client has approved being named. They are provided for illustration and are not a promise or guarantee that you will achieve the same or similar results. Statements about future capabilities, roadmaps, or market developments are forward-looking and subject to change without notice.
09Submissions through the Site
When you submit information through Site forms (for example contact requests, demo bookings, assessment requests, or career applications), you: (a) confirm the information is accurate and that you are entitled to provide it; (b) grant HachiAI the right to use it to respond to and process your request, consistent with our Privacy Policy; and (c) acknowledge that a submission does not create any service, employment, or other relationship. Career applications are handled as described in our Privacy Policy. Do not submit confidential or proprietary information through Site forms; anything submitted other than personal data governed by the Privacy Policy is deemed non-confidential.
If you send us ideas, suggestions, or feedback about the Site or our services, you grant HachiAI a perpetual, irrevocable, worldwide, royalty-free license to use them without restriction or compensation, and you represent you have the right to do so.
10Third-party links and services
The Site may link to, or embed functionality from, third-party websites and services (for example scheduling, video hosting, or social platforms). We do not control and are not responsible for third-party content, terms, or privacy practices. Your use of third-party services is at your own risk and subject to their terms.
11Privacy
Our collection and use of personal information through the Site is described in our Privacy Policy. Client operational data processed in the course of service delivery is governed by the applicable Master Services Agreement and Data Processing Agreement, not by these Terms.
12Disclaimers
THE SITE AND ITS CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, OR UNINTERRUPTED OR ERROR-FREE OPERATION. CONTENT ON THE SITE IS PROVIDED FOR GENERAL INFORMATION ABOUT HACHIAI AND ITS OFFERINGS AND DOES NOT CONSTITUTE PROFESSIONAL ADVICE OF ANY KIND. WE MAY CHANGE, SUSPEND, OR DISCONTINUE ANY PART OF THE SITE AT ANY TIME WITHOUT NOTICE. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.
13Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, HACHIAI AND ITS DIRECTORS, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATING TO YOUR USE OF, OR INABILITY TO USE, THE SITE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TO THE MAXIMUM EXTENT PERMITTED BY LAW, HACHIAI'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS WILL NOT EXCEED ONE HUNDRED CANADIAN DOLLARS (CAD $100). THIS SECTION DOES NOT LIMIT LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW, AND DOES NOT APPLY TO LIABILITY ARISING UNDER A SIGNED SERVICES AGREEMENT, WHICH IS GOVERNED BY THAT AGREEMENT.
14Indemnification
You agree to indemnify and hold harmless HachiAI Inc. and its directors, officers, employees, and agents from and against claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or related to: (a) your breach of these Terms; (b) your misuse of the Site; or (c) your violation of applicable law or the rights of a third party in connection with your use of the Site.
15Suspension and termination
We may suspend or terminate your access to the Site at any time, with or without notice, if we reasonably believe you have violated these Terms or applicable law, or to protect the Site or its users. Sections that by their nature should survive termination (including Sections 7, 8, 9, 12, 13, 14, and 17) survive.
16Changes to the Site and to these Terms
We may update these Terms from time to time. When we do, we will post the revised Terms on this page and update the "Effective Date" above. Material changes may be additionally communicated by a notice on the Site. Your continued use of the Site after revised Terms take effect constitutes acceptance of the revised Terms.
17Governing law and disputes
These Terms, and any dispute arising out of or relating to the Site, are governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to its conflict of law provisions. You and HachiAI irrevocably submit to the exclusive jurisdiction of the courts located in Toronto, Ontario for any such dispute, and each party waives any objection to venue in those courts. Nothing in this Section prevents either party from seeking injunctive or equitable relief in any court of competent jurisdiction to protect intellectual property or confidential information.
18General
- Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and HachiAI regarding use of the Site, and supersede prior understandings regarding the Site. They do not supersede or amend any signed agreement between you and HachiAI.
- Severability. If any provision of these Terms is held unenforceable, the remaining provisions remain in full force, and the unenforceable provision will be enforced to the maximum extent permitted.
- No waiver. Our failure to enforce any provision is not a waiver of our right to do so later.
- Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, corporate reorganization, or sale of assets.
- No third-party beneficiaries. These Terms do not confer rights on any third party.
- Force majeure. We are not liable for any failure or delay caused by events beyond our reasonable control.
- Language. These Terms are drafted in English.
